Businelligence ("Company," "we," "us," or "our") provides an AI-powered business automation platform accessible at app.businelligence.com. Our platform offers AI agents for customer service, inventory management, and sales forecasting.

2. Eligibility

To use Businelligence, you must:

• Be at least 18 years of age
• Have the legal authority to enter into contracts
• Represent a legitimate business or be a sole proprietor
• Not be located in a country subject to US economic sanctions
• Provide accurate and complete registration information

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and not share it with others
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. Subscription Plans and Billing

4.1 Plans

Businelligence offers the following subscription tiers:

• Starter: Free, limited to 50 AI messages per month
• Growth: $49/month or $39/month billed annually
• Scale: $149/month or $119/month billed annually
• Enterprise: Custom pricing, contact us at hello@businelligence.com

4.2 Billing

• Paid subscriptions are billed in advance on a monthly or annual basis
• All payments are processed securely by Stripe
• Prices are listed in US Dollars (USD)
• We reserve the right to change pricing with 30 days' notice

4.3 Cancellation and Refunds

• You may cancel your subscription at any time from your billing settings
• Cancellation takes effect at the end of your current billing period
• We offer a 14-day money-back guarantee for first-time paid subscribers
• After 14 days, we do not offer refunds for partial billing periods
• Annual subscriptions cancelled after 14 days are not eligible for prorated refunds

5. Acceptable Use

You agree to use Businelligence only for lawful purposes. You must not:

• Violate any applicable laws or regulations
• Upload malicious files, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the platform to generate spam, fraudulent content, or misleading information
• Reverse engineer, decompile, or attempt to extract our source code
• Resell or sublicense access to the platform without our written consent
• Use the platform in a way that could damage, disable, or impair our services
• Upload content that is illegal, defamatory, obscene, or infringes third-party rights
• Use our AI agents to engage in harassment, discrimination, or deceptive practices

6. Your Data and Content

6.1 Ownership

You retain full ownership of all data and content you upload to Businelligence, including business files, customer data, and inventory information.

6.2 License to Us

By uploading content, you grant Businelligence a limited, non-exclusive license to process, store, and use your content solely for the purpose of providing our services to you. We do not use your business data to train general AI models or share it with third parties for their own use.

6.3 Your Responsibility

You are solely responsible for the data you upload, including ensuring you have the right to upload customer data and that doing so complies with applicable privacy laws (including GDPR, CCPA, or local equivalents).

7. AI Agent Disclaimer

Businelligence is not liable for any decisions made based on AI agent responses.

8. Intellectual Property

All platform features, branding, design, code, and documentation are owned by Businelligence and protected by intellectual property laws. You may not copy, reproduce, or create derivative works of our platform without our written consent.

9. Availability and Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We will notify users of planned downtime where possible. Enterprise customers may negotiate SLA terms separately.

10. Limitation of Liability

To the maximum extent permitted by law:

• Businelligence is not liable for indirect, incidental, special, or consequential damages
• Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for data loss resulting from your failure to maintain backups
• We are not liable for third-party service outages (Stripe, Supabase, Anthropic, etc.)

11. Indemnification

You agree to indemnify and hold harmless Businelligence, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. Upon termination:

• Your access to the platform will be immediately revoked
• Your data will be retained for 30 days, after which it will be deleted
• You may request an export of your data before deletion
• Provisions that by their nature should survive termination will remain in effect

13. Governing Law and Disputes

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or your use of Businelligence shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on our platform at least 14 days before they take effect. Continued use of our services after changes take effect constitutes acceptance of the new Terms.
